Acceptance of Terms

These Terms and Conditions ("Agreement") govern your use of the ShifaTherapy platform (the "Platform"), a digital service operated by TechNexus Platforms Pte. Ltd. ("we", "us", "our"). The Platform is designed to facilitate connections between users and licensed mental health professionals.

By accessing or using the Platform in any manner, you acknowledge that you have read, understood, and agreed to be legally bound by this Agreement. If you do not agree with any part of these terms, you may not access or use the Platform.

References in this Agreement to “we”, “us”, or “our” refer specifically to TechNexus Platforms Pte. Ltd., the company that owns and operates ShifaTherapy.

Therapist Services and Professional Responsibility

ShifaTherapy is a technology platform that facilitates access to licensed mental health professionals ("Therapists") who offer their services through the Platform ("Therapist Services"). These professionals may be based in various jurisdictions and possess a range of credentials and experience, depending on the requirements of their licensing authorities.

We require that all Therapists offering services through our Platform are appropriately trained, certified, and licensed by the relevant regulatory or professional body in their respective country or region. Therapists must have a relevant academic background, practical experience, and must have met all requirements established by their licensing or registration board.

It is the sole responsibility of each Therapist to ensure that their qualifications remain valid and up-to-date. The Platform’s role is limited to enabling the connection between users and these licensed professionals.

IMPORTANT NOTICE: IF YOU ARE THINKING ABOUT SUICIDE, CONSIDERING HARMING YOURSELF OR OTHERS, OR IF YOU BELIEVE SOMEONE ELSE MAY BE IN DANGER, YOU MUST IMMEDIATELY CONTACT YOUR LOCAL EMERGENCY SERVICES.

THE PLATFORM IS NOT DESIGNED OR EQUIPPED TO HANDLE CRISIS SITUATIONS OR MEDICAL EMERGENCIES. THERAPISTS ON THE PLATFORM CANNOT PROVIDE THE URGENT ASSISTANCE REQUIRED IN SUCH CASES.

IF YOU CONTINUE TO USE THE PLATFORM DESPITE THIS WARNING, YOU DO SO ENTIRELY AT YOUR OWN RISK.

Limitations of the Platform

    ShifaTherapy and its Platform are NOT INTENDED for:

  • Clinical diagnosis requiring physical or in-person evaluation
  • Emergency interventions or crisis situations
  • Court-ordered or legally mandated therapy
  • Certifications for emotional support or other legal documentation
  • Medication advice or medical treatment recommendations

DO NOT DELAY OR AVOID SEEKING IN-PERSON CARE FROM YOUR PHYSICIAN, EMERGENCY SERVICES, OR OTHER QUALIFIED PROFESSIONALS BASED ON INFORMATION RECEIVED THROUGH THIS PLATFORM.

By using the Platform, you acknowledge that ShifaTherapy DOES NOT PROVIDE ANY HEALTHCARE SERVICES, and that all therapeutic services are delivered solely by licensed professionals. The effectiveness or suitability of these services may vary by individual and situation, and THEY MAY NOT BE APPROPRIATE FOR ALL MENTAL HEALTH NEEDS.

Privacy Policy and Data Protection

Protecting your personal information and maintaining your trust is a top priority for us. Information on how we collect, use, and safeguard data you share through the Platform is described in our Privacy Policy, which is available at shifatherapy.com/privacy (the "Privacy Policy").

BY ACCESSING OR USING THE PLATFORM, YOU ACKNOWLEDGE AND AGREE TO THE TERMS OF OUR PRIVACY POLICY.

THE PRIVACY POLICY IS A LEGALLY BINDING PART OF THIS AGREEMENT AND IS FULLY INCORPORATED HEREIN BY REFERENCE.

ANY CHANGES TO THE PRIVACY POLICY WILL BE SUBJECT TO THE SAME NOTICE AND ACCEPTANCE REQUIREMENTS AS CHANGES TO THESE TERMS AND CONDITIONS.

Please review the Privacy Policy carefully before using the Platform, especially if you have concerns about how your data is collected, stored, or processed.

Intellectual Property

The ShifaTherapy platform, including the website shifatherapy.com, related digital properties, applications, content, graphics, and all associated technology (collectively, the "ShifaTherapy Intellectual Property") are the sole property of TechNexus Platforms Pte. Ltd., its affiliates, licensors, or other authorized content providers.

THIS AGREEMENT DOES NOT CONSTITUTE A SALE AND DOES NOT GRANT YOU ANY OWNERSHIP RIGHTS OR LICENSES TO THE PLATFORM OR ANY INTELLECTUAL PROPERTY OWNED BY SHIFATHERAPY OR TECHNEXUS PLATFORMS PTE. LTD., EXCEPT AS EXPRESSLY PROVIDED BELOW.

“ShifaTherapy”, “shifatherapy.com”, and all related product names, service names, logos, slogans, and visual designs (the "ShifaTherapy Marks") are trademarks or registered trademarks owned by TechNexus Platforms Pte. Ltd. or its affiliated partners.

YOU MAY NOT USE ANY SHIFATHERAPY MARKS WITHOUT OUR PRIOR WRITTEN CONSENT.

ALL OTHER NAMES, LOGOS, PRODUCT NAMES, AND TRADEMARKS DISPLAYED ON THE PLATFORM ARE THE PROPERTY OF THEIR RESPECTIVE OWNERS. UNAUTHORIZED USE IS STRICTLY PROHIBITED.

Subject to your compliance with these Terms, you are granted a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to:

  • ACCESS AND USE THE PLATFORM SOLELY FOR YOUR PERSONAL, NON-COMMERCIAL USE,
  • ACCESS ANY CONTENT OR MATERIALS MADE AVAILABLE TO YOU THROUGH THE PLATFORM IN CONNECTION WITH THE SERVICES, again solely for personal, non-commercial purposes.

ALL RIGHTS NOT EXPRESSLY GRANTED TO YOU UNDER THIS AGREEMENT ARE RESERVED BY TECHNEXUS PLATFORMS PTE. LTD. AND ITS LICENSORS.

Third Party Content and Links

The Platform may contain content, services, or products that are offered, displayed, or provided by third parties ("Third Party Content"), including but not limited to:

  • Links to external websites
  • Embedded tools or widgets
  • Advertisements or promotional materials
  • Products or services made available by third-party providers

ShifaTherapy does not own, operate, or control any Third Party Content nor are we responsible for its accuracy, legality, functionality, or appropriateness.

We make no warranties or representations and assume no liability for any damage, loss, or harm that may arise from your access to or use of any Third Party Content or third-party service.

Engaging with any third-party resources through the Platform is done entirely at your own discretion and subject to the terms and policies of those third parties, which you are encouraged to review independently.

Disclaimer and Limitation of Liability

To the maximum extent permitted by applicable law, you hereby release, waive, and agree to hold harmless TechNexus Platforms Pte. Ltd., ShifaTherapy, and their officers, directors, employees, agents, and affiliates from any and all claims, demands, liabilities, losses, or damages of any kind arising from or related to:

  • The Therapist Services provided by licensed practitioners
  • Your use of the Platform
  • Any advice, response, information, opinion, or service provided by a Therapist or made available through the Platform

You understand and agree that the Platform is provided “as is” and “as available,” without any express or implied warranties of any kind.

This includes, but is not limited to, warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, or security.

You use the Platform entirely at your own risk.

In no event shall ShifaTherapy or TechNexus Platforms Pte. Ltd. be liable to you or any third party for any indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of data, loss of profits, or personal injury, arising out of or in connection with your use of the Platform or reliance on Therapist Services.

To the fullest extent permitted by law , our total aggregate liability to you for any claim or cause of action arising out of or related to this Agreement or your use of the Platform shall not exceed the total amount paid by you (or on your behalf) through the Platform in the twelve (12) months immediately prior to the date the claim arose.

If applicable law in your jurisdiction does not allow certain limitations of liability, then such limitations shall apply to the maximum extent permitted under local law and shall be modified only as necessary to ensure legal compliance.

This disclaimer and limitation of liability clause will survive termination or expiration of this Agreement

Sessions, Fees, Cancellation, and Matching

ShifaTherapy offers mental health services on a per-session basis, with flexible bundles available in multiple tiers, such as Standard, Premium, and Premium Plus. These options vary in pricing and may include different levels of features such as more experienced therapists, longer durations, or specialized types of therapy.

Once payment has been successfully made, you will receive confirmation of your session(s), and our team will initiate the therapist matching process.

Payments are non-refundable once a session has been confirmed or delivered, except as otherwise required under applicable local laws or explicitly stated in writing by ShifaTherapy.

Session Expiration and No Rollover

  • Sessions purchased must be used within the validity period specified at the time of purchase.
  • Unused sessions do not roll over beyond their validity period.
  • You are responsible for booking your sessions before they expire. Expired sessions will not be reinstated or refunded.

Session Cancellation Policy

If you need to cancel or reschedule a session:

  • Cancellations made less than 24 hours before the scheduled session or missed appointments will be charged in full. No refunds or rescheduling will be offered for late cancellations or no-shows, as the therapist’s time has already been reserved.
  • For package purchases, if you are not satisfied with your assigned therapist, we are happy to help you switch to another qualified therapist. However, please note that packages are non-refundable, and remaining sessions will be transferred to the new therapist.

This policy exists to protect therapists’ time and availability, and to ensure other users have access to available slots.

Therapist Matching Process

Our therapist matching system uses multiple inputs to help you find a suitable provider. Therapists are licensed or registered professionals who have opted into offering services to clients from certain jurisdictions.

Matching is influenced by:

  • Your location, language, time zone, and session availability
  • Therapist qualifications, experience, and specialization
  • Therapist availability, past user feedback, punctuality, and overall engagement
  • Preferences, such as therapist gender, cultural or religious background or focus area (e.g., anxiety, trauma, etc.)

While we do our best to provide an appropriate match based on your needs, you can request a rematch at any time if you feel the assigned therapist is not a good fit.

Pricing Changes

We reserve the right to modify pricing or offer new session bundles in the future.

Any such changes will be communicated on our website before taking effect. You will not be charged retroactively for previously purchased sessions or plans.

Withdrawal Rights and Local Consumer Laws

If you are located in a country that offers a cooling-off or withdrawal period, and such rights apply to the services we offer, we will honor your statutory right to cancel and request a refund within that window. Please contact our support team within the applicable period and provide your request in writing.

Insurance Disclaimer

ShifaTherapy does not participate in, manage, or bill any health insurance plans, nor do we guarantee that any Therapist listed on our Platform will be eligible for reimbursement through your insurance provider.

You are solely responsible for verifying whether sessions with your selected Therapist may be eligible for reimbursement under your insurance policy.

ShifaTherapy makes no representations or guarantees about insurance coverage, claim approval, or network status.

Some Therapists on the Platform may be licensed and accredited in a way that allows them to provide documentation to support your out-of-network or private reimbursement claims. If you require such documentation (e.g., receipts, session summaries, or provider information), you must request this directly from your Therapist.

ShifaTherapy is not responsible for claim denials, insurance disputes, or any costs incurred if a claim is rejected.

Any fees associated with sessions — including those you expect to claim through insurance — remain your responsibility.

If you arrive late or cancel a session without proper notice (see our Cancellation Policy), you may be subject to a late or missed session fee, regardless of whether you intended to use insurance.

Communication Consent and Electronic Delivery

By using ShifaTherapy, you agree that TechNexus Platforms Pte. Ltd., your assigned Therapist, and ShifaTherapy support personnel may contact you in connection with the services you have requested or are receiving.

You consent to receive communications electronically, including but not limited to:

  • Appointment reminders
  • Session confirmations and follow-ups
  • Scheduling inquiries or modifications
  • Therapist messages
  • Platform updates, billing notices, and changes to terms or policies

These communications may occur via email, SMS/text, in-app messaging, or other digital methods, based on the contact information you provide.

By providing your phone number and email address, you confirm that they belong to you and are current.

You may opt out of non-essential promotional emails or service suggestions at any time by:

  • Updating your notification preferences in your account settings
  • Contacting us via [email protected]

Please note: You cannot opt out of certain essential service communications — such as updates to these Terms and Conditions, Privacy Policy changes, or information related to your active therapy sessions — unless you discontinue using the services entirely.

Withdrawing your consent to receive communications electronically may make certain services unavailable to you.

Such withdrawal will not affect the legal validity or enforceability of any agreement or transaction that occurred prior to your withdrawal.

If you wish to withdraw consent for electronic communications, please contact us directly at for assistance.

Telehealth Consent

By using the ShifaTherapy Platform, you consent to receiving therapy services remotely via telehealth, which may include secure messaging, online chat, audio, or video sessions, depending on your selected service and therapist.

You agree to receive therapy sessions and related communications through electronic means. This may include the electronic sharing of information, documents, or records as necessary to support your care.

You acknowledge that telehealth services involve certain risks and limitations, such as:

  • Potential interruptions or delays in communication
  • Reduced therapist ability to respond to emergencies
  • Limitations on observation and physical cues compared to in-person therapy

Despite these risks, you understand that telehealth may offer benefits such as convenience, flexibility, and access to specialized professionals across borders.

Location Disclosure and Compliance

In cases where required by law or requested by your therapist, you agree to accurately disclose your physical location prior to or during a session. This helps ensure your therapist is operating within the professional boundaries of their licensure and jurisdiction

Right to Withhold or Withdraw Consent

You may withhold or withdraw your consent to telehealth at any time. However, this will impact your ability to continue receiving services via ShifaTherapy, which is designed for remote therapy delivery.

Please note that individual therapists may require you to sign or acknowledge additional telehealth consent forms in accordance with their licensing board or local laws. You agree to review and complete such documentation as needed.

Your Account, Responsibilities, and User Commitments

By using the ShifaTherapy Platform, you confirm and agree to the following:

Eligibility and Legal Authority

  • You confirm that you are legally able to enter into this Agreement and consent to receive therapy services.
  • If you are under the legal age of consent in your jurisdiction, you confirm that you have obtained consent from a parent or legal guardian who is authorized to provide such consent.

Minor Consent

If you are a parent or legal guardian providing consent on behalf of a minor:

  • You confirm that you have the sole legal authority to consent to therapy services for the minor.
  • You consent to the collection and processing of personal information on behalf of the minor, as outlined in our Privacy Policy.
  • Consent remains valid until the sessions are completed or canceled by you.

Account Information and Security

You agree that:

  • All information provided to ShifaTherapy is accurate, true, and current, and you will update it as necessary.
  • You are solely responsible for maintaining the security and confidentiality of your account, including passwords or any other access credentials.
  • You must immediately notify us of any unauthorized use or breach of security related to your account.
  • We are not liable for any loss or damage caused by unauthorized access to your account.
  • You accept full responsibility for all activity under your account, whether authorized or not, and agree to indemnify ShifaTherapy against any misuse.

Platform Conduct and Usage

You agree that:

  • You will only use the Platform for your personal use, and not on behalf of any organization or other individual without prior written approval.
  • You will not access or use another user’s account for any reason.
  • You will not attempt to interfere with or disrupt the Platform’s infrastructure, servers, or networks.
  • You will not upload, post, or transmit any of the following through the Platform:
    • Unsolicited advertisements or spam
    • Malware, viruses, or harmful code
    • Harassing, abusive, obscene, or illegal content
    • Content infringing on intellectual property or privacy rights
    • Any content that may violate applicable laws or regulations

You agree to comply with all local, national, and international laws applicable to your use of the Platform and your interactions with therapists.

File Safety and Use

If you receive any files from ShifaTherapy or a therapist:

  • You agree to scan all files for viruses or malicious software before opening or using them.

Indemnification

You agree to indemnify, defend, and hold harmless ShifaTherapy, TechNexus Platforms Pte. Ltd., and its affiliates, officers, directors, employees, and agents from and against any losses, claims, liabilities, legal costs, or damages arising from:

  • Your use or misuse of the Platform
  • Any activity performed under your account
  • Violation of these Terms and Conditions
  • Non-payment for services received
  • Violation of any third-party rights

This indemnification clause will survive termination of this Agreement.

Payment and Billing

You confirm that:

  • You are authorized to use the payment method you provide, and all billing information is accurate and current.
  • You agree to pay all fees for sessions or services purchased, in accordance with the prices published at the time of purchase.
  • You authorize us to charge your payment method for the amount agreed and commit to keeping your billing information up to date.

Platform Availability and Service Modifications

You acknowledge and agree that ShifaTherapy may modify, suspend, disrupt, or discontinue the Platform or any part of its services at any time, either for all users or specific users, with or without prior notice.

You understand and agree that ShifaTherapy will not be liable for any direct or indirect losses or damages that result from changes to or interruptions in the Platform, regardless of cause.

The operation of the Platform depends on various third-party components, including hardware, software, internet connectivity, hosting infrastructure, and external service providers.

While we make commercially reasonable efforts to maintain access and reliability, you acknowledge that:

  • No technology platform is guaranteed to be 100% accessible or error-free at all times
  • We do not guarantee uninterrupted or timely access to the Platform or its features
  • Access to the Platform may be unavailable due to maintenance, updates, network issues, technical errors, or factors outside our control

We appreciate your understanding and patience in the event of temporary service disruptions. Please report any ongoing access issues to our support team at [email protected].

Notices and Communications

We may send you important notices, updates, or legal communications related to this Agreement, your use of the Platform, or any services offered, via one or more of the following methods:

  • Email to the address registered in your account
  • Postings on the ShifaTherapy website or within your account dashboard
  • Other digital means, as appropriate based on your activity

The date of receipt will be considered the date on which the notice is sent or posted, regardless of whether you read it.

We are committed to responding to all inquiries in a timely and respectful manner. If you are experiencing a technical issue or concern related to your therapist experience, please include relevant details to help us address your request efficiently.

Governing Law, Entire Agreement, and Miscellaneous Terms

This Agreement and your relationship with ShifaTherapy shall be governed and interpreted solely in accordance with the laws of Singapore, without regard to any conflict of laws principles.

This Agreement constitutes the entire agreement between you and ShifaTherapy. You confirm that you have not relied on any promises, representations, or warranties that are not expressly stated herein.

You agree that:

  • Any disputes or legal proceedings arising out of or relating to this Agreement shall be brought exclusively before the competent courts of Singapore, unless otherwise required under mandatory local consumer protection laws.
  • You consent to the jurisdiction of the courts of Singapore, and waive any objection based on lack of jurisdiction or inconvenient forum.
  • Nothing in this Agreement affects your statutory rights as a consumer under the laws of the country where you reside, where such laws provide greater protection and cannot be waived by agreement.

Changes to the Agreement

We may revise this Agreement from time to time. Unless otherwise stated:

  • All modifications will become effective upon being posted on the Platform.
  • By continuing to use the Platform after changes are posted, you agree to be bound by the updated terms.

You are encouraged to review this Agreement periodically. The last updated date is noted at the bottom of this document.

Additional Terms

  • We may transfer or assign this Agreement or any of our rights or obligations without notice.
  • The section headings in this Agreement are included for convenience only and shall not affect its interpretation.
  • If any provision of this Agreement is deemed illegal, invalid, or unenforceable by a court of competent jurisdiction, the remainder shall remain in full force and effect.

To avoid doubt, all clauses regarding limitation of liability, indemnification, telehealth consent, and disclaimers shall survive termination or expiration of this Agreement.
